CODE OF ETHICS

This Code is neither exhaustive nor normative. It describes the rules that the company has set for conducting its business and its interactions with all stakeholders. It does not replace other regulations in force, particularly the current legislation.

1 – Safety, combating harassment and discrimination: The company offers a respectful and safe work environment to all its employes, clients, partners, and suppliers. This commitment is reflected in our policy against workplace violence and harassment, as well as in our full adherence to the principles of diversity and equal employment opportunity (employment decisions being made without regard to race, color, religion, sex, age, origin, health status, sexual orientation, or any other characteristic protected by law).
We are committed to ensuring that our employes and stakeholders within our premises can work without hardship and in complete safety. Each employe is responsible for their own safety and that of their colleagues. Safety is a top priority; everyone must be vigilant and take into account any remarks that may be made to them in order to prevent or stop a dangerous situation.

2 – Fight against fraud and corruption: We strive to be transparent with all our clients, partners, subcontractors, and suppliers. We seek, within the framework of our business relationships, only third parties who share the same values of fairness, integrity, and ethical behavior. The following rules mainly aim to prevent and prohibit behaviors that promote unfair competition, corruption and fraud, money laundering, and conflicts of interest. These rules apply on the basis of reciprocity to all our internal and external stakeholders: employes, clients, partners, subcontractors, and suppliers. This Code, not being able to foresee all situations, requires that the behavior of each individual be guided by our values, common sense, responsibility, and exemplary conduct. The violation of any provision of this code may result in both disciplinary measures and possible legal action.
Fraud is an act of deception or forgery punishable by law (collusion, false invoice, invoices paid for services not received, obtaining personal benefits in the supplier selection process, falsification of receipts, deliberate submission of false or misleading financial reports, falsification of timecards, embezzlement of company assets, employment of undeclared personnel, falsification of test reports, false certificates, false declarations, …).
In a competitive environment, our company exists solely thanks to the trust and loyalty of its clients and partners. We must therefore be exemplary in terms of integrity and conduct ourselves in an ethical and responsible manner at all times. We only seek business opportunities where the competitive framework is normal and healthy, without trying to reduce competition or establish price agreements.

Corruption occurs when a person offers, authorizes, or provides money or any other advantage (gifts, favors, etc.) to unduly influence a business outcome or gain a personal benefit. As long as there is no corrupt intent, the exchange of certain unsolicited business courtesies with clients, partners, or suppliers and subcontractors, on a small scale such as gifts, meals, and entertainment, may be occasionally permitted. These gestures must be reasonable in monetary value, not extravagant, not constitute a bribe, and comply with the rules set by each company, anti-corruption laws, and anti-corruption regulations. Everyone must therefore demonstrate common sense, responsibility, and exemplary behavior. Expenses must be recorded completely and accurately.
Corruption and fraud are unacceptable, illegal, and therefore strictly prohibited.

3 – Conflict of interest: A conflict of interest arises in a situation where our personal interest or that of our immediate family members may conflict with the interest of the company or one of its clients.
The management and employes of the company must act in the best interest of the organization. Real, potential, or perceived conflicts of interest must be avoided in the performance of our duties. Existing or potential conflicts of interest must be duly declared and reported. When problems or situations arise that leave an employe in doubt about the appropriate course of action, they must contact management.
If an employe engages in business activities outside of LEMA Industries, particularly those of an organization that provides goods, equipment, or services to LEMA Industries, or competes with it, that employe must obtain prior approval from management. This requirement would include relationships with non-profit organizations or professional organizations.
Decisions related to hiring or purchasing can lead to a conflict of interest. To avoid any disappointment, it is advisable to report the conflict and step back to allow the company’s management to ensure that the process is fair, transparent, and accessible to all concerned parties.

3 – Purchasing Policy: LEMA industry has a coherent and ethical procurement and purchasing strategy. We expect our suppliers’ offers to be competitive and reflect the best market prices and the best possible conditions, so that our clients benefit from a fair and competitive proposal. We prioritize seeking local partners and suppliers who share our values and policies (quality, CSR).
LEMA Industries is determined to protect intellectual property and intellectual property rights globally. All employes of the company, subcontractors, and suppliers must respect the intellectual property of others and ensure that the copyrights, patents, trademarks, trade secrets, and other forms of intellectual property of LEMA Industries and its business partners are protected.

4 – Confidentiality and Data Protection: In order to protect confidential information and the company’s assets against theft, fraud, damage, loss, or abuse:

  • The last person to leave the company’s premises must ensure that they are properly secured (closing windows, doors, and the gate, setting the alarm). Computers, phones, vehicles, equipment, and tools must be used, handled, and stored with care.
  • Company property must not be sold, lent, or given away; company property must not be deliberately destroyed, damaged, or disposed of; tools/equipment/materials must not be used for personal purposes.

The data must be protected from any alteration, diversion, deletion, or hacking. Vigilance must be particularly exercised regarding confidential data such as information related to clients, business partners, or employes. Each employe must therefore adhere to the established procedures (passwords, caution (spam, viruses, phishing, software, etc.), all our software must have a valid license and come from a trusted source, turning off computers when not in use, backups).
Confidential information must not be disclosed outside. Confidential information includes the personal data of employes, information, documents, and items belonging to the company or its clients, subcontractors, and suppliers, cost and pricing data, financial results, notes, studies, and reports, address books, or any form of intellectual property developed within the company.
It is prohibited to publicly disclose any confidential, strategic, or sensitive information regarding the company or its clients, subcontractors, and suppliers. The company’s employes must ensure that they do not disclose confidential information, spread false information, or distort reality during their exchanges (conversations, texts, emails, publications, or comments on social media, etc.). All exchanges conducted in a professional context must be courteous.
Only management is authorized to speak to the media on behalf of the company.

5 – Respect for local populations, local development, and solidarity: With premises located in a protected natural area, we must ensure that our activities do not generate any nuisances or pollution. We act to actively contribute to the development of training in our professions, employment, and the local economy. We support the communities in which we operate and encourage the participation and involvement of our employes in local community life.

6 – Whistleblower Protection: Company employes are encouraged to report any concerns regarding ethics or compliance with this Code to management. Employes who in good faith report violations of ethics or acts of corruption will not suffer any form of retaliation. The company’s management will support and protect anyone who is led to report a violation of this Code.
